We operate the website https://www.socialscalers.co (the "Site"), as well as any related services, pages, forms, proposals, payment links, agreements, and other services that refer or link to these legal terms (collectively, the "Services").

We provide digital marketing services for businesses worldwide, including paid advertising management, Meta ads management, Google ads management, Klaviyo and email marketing, creative strategy, copywriting, campaign reporting, audits, consulting, and related marketing support.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or the "Client"), and The Social Scalers LLC, concerning your access to and use of the Services.

By accessing our Site, contacting us, signing an agreement, submitting payment information, or using our Services, you confirm that you have read, understood, and agreed to be bound by these Legal Terms.

IF YOU DO NOT AGREE WITH THESE LEGAL TERMS, YOU MUST NOT USE OUR SITE OR SERVICES.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use the Services.

The Social Scalers LLC provides digital marketing services for businesses worldwide.

Our Services may include:

• Meta ads management

• Google ads management

• Campaign reporting

The exact Services provided to each Client will depend on the proposal, invoice, payment page, signed agreement, or written arrangement agreed between us and the Client.

We may update, change, pause, or stop offering any part of the Services at any time.

The information provided through the Services is not intended for distribution to or use by any person or entity in any location where such distribution or use would be contrary to law or regulation.

Any person who chooses to access the Services from outside the United States does so on their own initiative and is responsible for compliance with local laws.

  1. USE OF OUR SITE

You may use our Site for lawful business purposes only.

By using our Site or Services, you represent and warrant that:

• You have the legal capacity to agree to these Legal Terms.

• You are not a minor in the jurisdiction in which you reside.

• You will not access the Site or Services through automated or non human means, such as a bot, script, scraper, or similar tool.

• You will not use the Site or Services for any illegal or unauthorised purpose.

• Your use of the Site or Services will not violate any relevant law, regulation, platform rule, or third party right.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate access to the Services and refuse current or future use of the Services.

  1. CLIENT RESPONSIBILITIES

To provide Services properly, we may need access to advertising accounts, analytics platforms, ecommerce platforms, email marketing platforms, websites, landing pages, creative assets, brand assets, payment information, and other business systems.

Clients are responsible for:

• Providing accurate business information

• Giving the correct access needed for us to perform the agreed Services

• Keeping billing methods active and funded

• Paying advertising costs charged by third party platforms

• Approving budgets, offers, creatives, and strategy where required

• Making sure their products, services, claims, website, and business practices comply with relevant laws and platform rules

• Responding within a reasonable time where input or approval is needed

• Maintaining their own website, checkout, fulfilment, customer service, stock, pricing, product quality, and legal compliance

We are not responsible for delays, performance issues, rejected ads, suspended accounts, lost revenue, or missed opportunities caused by late Client responses, missing access, platform issues, website issues, product issues, payment failures, stock problems, or other matters outside our reasonable control.

  1. FEES AND BILLING

Fees will be stated in the relevant proposal, invoice, payment page, signed agreement, or written arrangement.

We may charge setup fees, management fees, commission fees, performance based fees, audit fees, consulting fees, or other service fees where stated in the relevant proposal, invoice, payment page, signed agreement, or written arrangement.

Currently, some Services may be offered with no setup fee or no monthly management fee, but this may change for future Clients, future Services, or future agreements.

Where fees are calculated as a percentage of revenue, the percentage will be applied to the revenue shown in the relevant advertising platform, analytics platform, ecommerce platform, invoice, payment page, or signed agreement.

Fees may be charged in USD or in the Client’s local billing currency, as stated in the relevant proposal, invoice, payment page, signed agreement, or written arrangement.

Unless stated otherwise in writing, fees are exclusive of taxes, payment processing fees, currency conversion charges, and advertising costs charged directly by third party platforms.

The Client is responsible for any VAT, GST, sales tax, withholding tax, or other taxes connected with the Services.

  1. ADVERTISING COSTS

Advertising costs are separate from our service fees.

Unless agreed otherwise in writing, Clients are responsible for paying all advertising costs directly to platforms such as Meta, Google, TikTok, Klaviyo, or any other third party platform used in connection with the Services.

We are not responsible for ad spend, platform charges, billing errors, rejected payments, account suspensions, or charges made by third party platforms.

  1. PERFORMANCE BASED FEES

Where a Client agreement includes performance based fees, commission, or revenue share, the relevant percentage, threshold, and billing schedule will be stated in the relevant proposal, invoice, payment page, signed agreement, or written arrangement.

Where an agreement refers to return on ad spend, attributed revenue, conversion value, or similar performance metrics, those metrics will be based on the reporting shown inside the relevant platform unless agreed otherwise in writing.

This may include reporting from Meta Ads Manager, Google Ads, Klaviyo, Shopify, Google Analytics, or another agreed reporting source.

Platform reporting can change, update, delay, over attribute, under attribute, or differ between platforms.

The Client accepts that reporting differences may happen.

  1. PAYMENT AUTHORISATION

By submitting payment details, approving a payment method, signing an agreement, or agreeing to automated billing, the Client authorises The Social Scalers LLC and its payment providers to charge the agreed fees according to the relevant proposal, invoice, payment page, signed agreement, or written arrangement.

For some Services, we may require an initial payment authorisation before work starts.

  1. FAILED PAYMENTS

If a payment fails, is reversed, is disputed, or remains unpaid, we may pause Services, campaign management, reporting, support, and any other work until the payment issue is resolved.

The Client remains responsible for all fees earned or accrued before the pause, cancellation, or termination date.

We may also recover reasonable costs connected with failed payments, chargebacks, debt recovery, or collection activity, where allowed by law.

  1. REFUNDS

Fees are non refundable once work has started, access has been granted, strategy has been prepared, campaigns have been reviewed, campaigns have been built, Services have been provided, or resources have been allocated.

Refunds may only be provided where required by law or where The Social Scalers LLC agrees otherwise in writing.

Where a refund is agreed, the refund amount and method will be decided by The Social Scalers LLC acting reasonably.

Advertising costs, third party platform charges, payment processing fees, currency conversion fees, and third party costs are not refundable by The Social Scalers LLC.

  1. CANCELLATION AND TERMINATION

Unless stated otherwise in a proposal, invoice, payment page, signed agreement, or written arrangement, Services have a minimum term of one month.

After the first month, Services continue monthly until terminated.

Either party may terminate Services by giving 7 days’ written notice.

Any outstanding fees, commissions, or charges accrued up to the effective termination date remain payable and may be billed upon termination.

Termination does not remove the Client’s responsibility to pay amounts already owed.

We may terminate or pause Services immediately if the Client breaches these Legal Terms, fails to pay, removes required access, misuses our work, acts unlawfully, makes misleading claims, or creates a risk to The Social Scalers LLC, our team, our payment providers, or third party platforms.

  1. NO GUARANTEED RESULTS

We do not guarantee specific results, sales, revenue, profit, leads, return on ad spend, growth, rankings, deliverability, account approval, platform approval, or any other specific business outcome.

Marketing performance can be affected by many factors outside our control, including offer, pricing, product quality, website conversion rate, tracking accuracy, market conditions, competition, platform algorithms, ad account history, budgets, creative assets, customer service, stock availability, reviews, brand reputation, and third party platform changes.

The Client accepts that results may vary.

  1. THIRD PARTY PLATFORMS

Our Services may involve third party platforms such as Meta, Google, TikTok, Klaviyo, Shopify, Stripe, Google Analytics, Google Workspace, Loom, Pumble, Calendly, and other tools.

We do not own or control these third party platforms.

We are not responsible for platform outages, rejected ads, account bans, policy changes, billing issues, tracking errors, reporting delays, lost data, bugs, downtime, or any action taken by a third party platform.

The Client must comply with all relevant third party platform terms, policies, and rules.

  1. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or licensee of all intellectual property rights in our Site and Services, including website content, designs, text, graphics, images, videos, layouts, systems, templates, frameworks, processes, internal documents, training materials, strategy documents, methods, know how, trademarks, service marks, and logos.

Our content and intellectual property are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Legal Terms, we grant you a limited, revocable, non exclusive, non transferable licence to access and use the Site and Services for your own lawful business purposes.

Unless agreed otherwise in writing, The Social Scalers LLC owns or retains all rights in our processes, systems, templates, frameworks, strategy documents, internal documents, training materials, know how, and methods.

Work created specifically for a Client may be used by the Client for their own business once all relevant fees have been paid, unless agreed otherwise in writing.

The Client must not copy, resell, share, publish, distribute, or use our internal materials, templates, processes, or strategy documents outside their own business without our written permission.

The Client confirms they have the right to provide us with any logos, images, videos, copy, claims, product information, customer data, brand assets, or other materials supplied to us.

Any breach of this section may constitute a material breach of these Legal Terms.

  1. WEBSITE CONTENT

All content on our Site, including text, graphics, branding, design, images, videos, layout, and other materials, belongs to The Social Scalers LLC or our licensors unless stated otherwise.

You may not copy, reproduce, distribute, sell, licence, publicly display, publish, or exploit our Site content without our written permission.

If you wish to use any part of our Site content, you must contact us at hello@thesocialscalers.com and receive written permission first.

  1. CONFIDENTIALITY

During the Services, each party may receive confidential business information from the other party.

Both parties agree to keep confidential information private and only use it for the purpose of providing or receiving the Services.

Confidential information does not include information that is already public, independently developed, lawfully received from another source, or required to be disclosed by law.

  1. PRIVACY POLICY

We care about data privacy and security.

Our handling of personal information is explained in our Privacy Policy.

By using our Site or Services, you agree that we may collect and use personal information as described in our Privacy Policy.

Please review our Privacy Policy carefully.

If you access the Site or Services from outside the United States, you understand that your information may be transferred to and processed in the United States and other countries where our service providers operate.

  1. TESTIMONIALS AND CASE STUDIES

We may ask Clients for permission to use testimonials, results, screenshots, brand names, logos, or case studies.

We will not publish confidential Client information without permission.

Where a Client gives permission, they allow us to use the approved material for marketing, website, sales, and portfolio purposes.

  1. PROHIBITED ACTIVITIES

You may not access or use the Site or Services for any purpose other than the purpose for which we make them available.

As a user of the Site or Services, you agree not to:

• Use the Site or Services for any illegal or unauthorised purpose.

• Submit false, inaccurate, misleading, or incomplete information.

• Trick, defraud, or mislead us or any other person.

• Circumvent, disable, or interfere with security related features of the Site or Services.

• Copy, scrape, download, or collect content from the Site without written permission.

• Use automated tools, bots, spiders, scrapers, or similar systems to access the Site or Services.

• Upload or transmit viruses, malware, harmful code, or other disruptive material.

• Interfere with, disrupt, or create an undue burden on the Site, Services, servers, networks, or connected systems.

• Attempt to gain unauthorised access to any part of the Site, Services, accounts, systems, or data.

We reserve the right to take action against anyone who violates this section, including suspending access, terminating Services, and pursuing legal remedies where appropriate.

  1. THIRD PARTY WEBSITES AND CONTENT

The Site or Services may contain links to third party websites, content, applications, platforms, or resources.

Third party websites and content are not controlled by us.

We are not responsible for the accuracy, content, policies, privacy practices, availability, security, products, services, or conduct of any third party website or platform.

If you access a third party website or use a third party platform, you do so at your own risk.

You should review the terms and policies of any third party website or platform you use.

  1. LIMITATION OF LIABILITY

To the fullest extent allowed by law, The Social Scalers LLC will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, loss of business opportunity, or loss caused by third party platforms.

We make no warranties or representations about the accuracy, completeness, reliability, or availability of the Site, Services, third party platforms, or any content connected with the Services.

The Site and Services are provided on an as is and as available basis.

Where liability cannot be excluded, our liability will be limited to resupplying the Services or refunding the fees paid by the Client for the affected Services during the previous one month, as decided by The Social Scalers LLC where allowed by law.

Nothing in these Legal Terms excludes liability where it cannot legally be excluded.

  1. INDEMNITY

The Client agrees to indemnify and hold harmless The Social Scalers LLC, its owners, employees, contractors, and agents from claims, losses, damages, liabilities, costs, and expenses arising from:

• The Client’s products or services

• The Client’s website

• The Client’s claims, offers, pricing, or advertising content

• The Client’s breach of these Legal Terms

• The Client’s breach of law or platform rules

• Materials or information supplied by the Client

• Customer complaints connected with the Client’s business

• Third party claims connected with the Client’s business

  1. FORCE MAJEURE

Neither party will be liable for delay or failure to perform caused by events outside reasonable control.

This may include platform outages, internet failures, natural disasters, government restrictions, war, strikes, payment provider issues, third party service failures, illness, cyberattacks, or other events beyond reasonable control.

Deadlines may be extended where needed because of these events.

  1. CHANGES TO THESE LEGAL TERMS

We may update these Legal Terms from time to time.

When we update these Legal Terms, we will change the Last updated date at the top of this page.

It is your responsibility to review these Legal Terms from time to time.

Your continued use of the Site or Services after changes are posted means you accept the updated Legal Terms.

  1. GOVERNING LAW

These Legal Terms are governed by the laws of the State of Wyoming, United States, unless mandatory local laws require otherwise.

  1. DISPUTE RESOLUTION

Any disputes shall first be attempted to be resolved through good faith negotiation.

If a dispute cannot be resolved, the parties agree to attempt mediation in Sheridan, Wyoming before starting legal proceedings, unless urgent legal action is required.

Where legally permitted, any dispute shall be handled in Sheridan County, Wyoming.

  1. SEVERABILITY

If any part of these Legal Terms is found to be invalid, unlawful, or unenforceable, the remaining parts will continue to apply.

  1. ENTIRE AGREEMENT

These Legal Terms, together with any proposal, invoice, payment page, signed agreement, written arrangement, and Privacy Policy, make up the agreement between The Social Scalers LLC and the Client regarding the relevant Services.

If there is a conflict between these Legal Terms and a signed Client agreement, the signed Client agreement will apply to that specific Client relationship.
